1. Agreement and Scope
These Terms of Service govern your access to and use of Codeq8, including our website, hosted and mobile applications, GitHub integrations, APIs, automations, support channels, and related services (collectively, the "Services").
Codeq8 is operated by iScoot, LLC ("iScoot," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility
You must be at least 13 years old, or the minimum age required by the laws of your jurisdiction if that age is higher, to use the Services. The Services are intended for developers, teams, and other users working with GitHub repositories, workflows, and related tooling, and are not directed to children under 13.
If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian.
3. Accounts and Access
You may need a GitHub account or other connected credentials to use some features of the Services. You are responsible for safeguarding your account credentials, maintaining the security of any connected accounts, and for all activity that occurs under your access.
You must provide accurate information, keep it current, and promptly notify us if you believe your account or a connected integration has been compromised.
4. Service Operation and Availability
Codeq8 helps users work with GitHub repositories, GitHub Actions, issue and pull request workflows, and related coding or automation tasks, including features that may rely on OpenAI services such as Codex. The Services may change over time, and specific features may be added, modified, limited, or removed without prior notice.
We do not guarantee that the Services, any run, or any AI-assisted or other generated output will be uninterrupted, error-free, complete, or suitable for any particular use case. You are responsible for reviewing outputs before relying on them in production or other important contexts.
5. Plans, Subscriptions, and Usage Limits
Codeq8 may offer Free, Plus, beta self-hosting, or other plans described on the pricing page, checkout flow, or applicable order page. Paid plans may renew unless canceled according to the billing terms shown when you subscribe.
Plan limits, hosted-runner capacity, concurrency, repository access, storage, feature availability, and fair-use controls may vary by plan and may change over time. Self-hosted GitHub Actions usage is separate from hosted-runner capacity unless a later plan says otherwise.
Fees, taxes, refunds, renewals, cancellations, and billing-provider terms are governed by the disclosures presented at purchase or in the applicable billing portal.
6. Acceptable Use
You may not use the Services in any unlawful, harmful, fraudulent, or abusive manner. You also may not use the Services to interfere with our systems, GitHub, or any third-party systems, or to violate the rights of others.
- reverse engineer, probe, or attempt to gain unauthorized access to the Services or related systems
- circumvent usage limits, access controls, or security protections
- upload, transmit, or cause the Services to process malware, phishing content, or other malicious code
- use the Services to infringe intellectual property, privacy, publicity, or other legal rights
- submit content or instructions that you do not have the right to use or disclose
- use the Services in a way that violates GitHub terms, repository permissions, or applicable law
- harass, abuse, threaten, or impersonate another person or organization
- use the Services to build or operate competing services by extracting or reusing substantial parts of the Services
7. Your Content and Inputs
You retain ownership of the code, prompts, files, repository data, issues, pull requests, comments, and other materials that you submit to the Services (collectively, "Customer Content").
You grant us a limited, non-exclusive, worldwide license to host, copy, transmit, process, display, modify, and use Customer Content only as necessary to operate, secure, support, and improve the Services, to provide requested functionality, and to comply with law.
You are responsible for ensuring that you have all necessary rights, permissions, and consents to submit Customer Content to the Services and to authorize us to process it on your behalf.
8. GitHub, OpenAI, Billing, and Third-Party Services
The Services integrate with third-party products and infrastructure, including GitHub, OpenAI services such as Codex, payment processors, hosting and cloud providers, mobile platform providers, and optional connected services. Your use of those third-party services is governed by the terms and privacy policies of those providers, not these Terms.
We are not responsible for outages, policy changes, access restrictions, billing changes, rate limits, account restrictions, app-store review or distribution decisions, or other actions by GitHub, OpenAI, payment processors, cloud providers, mobile platform providers, or other third parties that affect the Services.
9. Intellectual Property and Feedback
The Services, including our software, design, branding, and other content we provide, are owned by iScoot or our licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights in and to the Services.
If you provide feedback, suggestions, or ideas regarding the Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without restriction or compensation to you.
10. Suspension and Termination
We may suspend or terminate your access to some or all of the Services at any time if we reasonably believe you violated these Terms, created risk or potential liability, interfered with the operation of the Services, or if suspension is necessary for security, legal, or operational reasons.
You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including provisions relating to ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and contact or notice obligations.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Services will be secure, uninterrupted, accurate, complete, or free of harmful components, or that any output or result will meet your expectations or requirements.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISCOOT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR THE SERVICES DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless iScoot, LLC and its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules. Before either party files a claim, the parties agree to try in good faith to resolve the dispute informally by written notice and discussion for at least 30 days.
If a dispute is not resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened misuse of intellectual property, unauthorized access, or other urgent harm. To the maximum extent permitted by law, disputes must be brought only on an individual basis and not as part of a class or representative action.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Services after updated Terms become effective means that you accept the revised Terms.
